The following are commonly asked questions regarding incorporations and the formation of a business entity.  Please email or call with your questions and we will respond by the next business day.
How long does the incorporation process take?
The process will vary depending upon several factors. All of the paperwork and registration materials will be processed within the first week of receiving your completed questionnaire and order form. This is assuming there are no questions and the chosen name is available. Another factor will be the time the Commonwealth of Pennsylvania takes to complete the registration process. Everything will be in place within 1-2 weeks with the final official confirmations and the delivery of your corporate kit, seal and stock shares in approximately 30-45 days. Once all materials have been completed and the registration materials have been submitted to the Commonwealth of Pennsylvania, for all intents and purposes you have ownership of the corporate name and can proceed with your business planning.  
Can I maintain records easily myself?
Yes.  You will be able to independently maintain your own corporate meeting and business records.  It would be a good idea to maintain a close relationship with both your accountant and an attorney who is familiar with business practices and corporate matters.  Maintenance and regular review of your records and business practices will keep your business in compliance with the requirements of the Commonwealth of Pennsylvania.
Is there a re-filing requirement for my corporation?
No.  Once you have filed and have received confirmation of registration, your obligations shift to record keeping and the normal functions of running a business.
What is a corporate seal?
The corporate seal is physically applied to paperwork and filings, which require confirmation of authenticity.  It is assumed that only the corporation has access to the official seal and as a result, any documents, which display the seal, must have been the official work product of the corporation.  A corporate seal is part of your corporate kit.


What is a “registered agent”?
Persons located outside Pennsylvania who wish to incorporate within the state primarily use a registered agent.  The registered agent has an official capacity to receive legal documents such as service of process.  It is also a service offered to keep businesses informed as to tax and other business filing requirements.  For more information, please visit the portion of our website regarding registered agents.
Can I switch to a different business entity at a later time?
Yes.  It is important to have a business plan and to set your business up in the form you desire from the beginning.  However, if your business needs change, you can change your registered business entity.
